ORGANO GOLD INTERNATIONAL, INC. is the Plaintiff in this dispute with Luis Ventura et al, being its defendants.
Mr. Ventura entered another multi-level marketing (MLM) business called Total Life Changes (“TLC”). TLC offers various products including teas, oils and weight loss supplements containing Ganoderma mushrooms in its coffee. Organo maintains that TLC’s non-compete clause is legally enforceable as TLC serves a direct competitor for organoderma-containing coffee while Mr. Ventura attempts to recruit former Organo distributors into TLC’s network.
For instance, Organo Gold’s Distributor Application prohibits distributors from engaging in any activity which “directly competes” with Organo Gold in terms of offering Ganoderma-based products and beverages. On the other hand, their Policies and Procedures only restrict soliciting customers into another MLM setting – not businesses selling Ganoderma-based or healthy beverage products. Both clauses appear reasonable to this Court’s view as they serve public interest.
L&A Ventura asserts that Organo delayed in seeking an injunction, only saw a few distributors leave following Mr. Ventura’s departure, and has suffered only financial damages; these allegations are without merit as Organo’s internal records indicate an abrupt decrease in distributor numbers following Mr. Ventura’s exit.
Organo has presented evidence showing that Mr. Ventura’s actions accelerated this attrition, prompting this Court to order an injunction in order to protect Organo’s goodwill and customer base in the ganoderma-based product (and healthy beverage) industry as well as prevent its distribution network being destroyed over time.
