In February 2016, defendant Ventura joined Total Life Changes LLC (“TLC”), another multi-level marketing company offering various products infused with Ganoderma extract. TLC currently has distribution operations throughout the US, Mexico and more than thirty other countries.

At a Project 50K event in Las Vegas, defendant Ventura promoted TLC to other Organo Gold distributors and invited them to attend a presentation by an Organo Gold representative from TLC. Some distributors reported that Defendant Ventura personally solicited them into joining TLC by discussing its opportunities with them.

According to defendant Ventura’s own statement, on the same day TLC presented its new opportunity, he asked his TLC representative for a list of Organo Gold distributors so he could invite them to an event held by TLC soon thereafter. Additionally, he sent emails inviting some of these distributors directly for presentations by TLC.

Though the Court may have some reservations about these statements regarding their accuracy, it will still consider them when ruling on an application for preliminary injunction. More specifically, the Court will take into account that while these may qualify as hearsay in other contexts, they do not constitute such evidence when offered during preliminary injunction proceedings, due to how the Rules of Evidence don’t strictly apply in such proceedings.

Why is Luis Ventura suing Organo Gold?

Organo alleges that Ventura violated his Distributor Agreement and non-compete clauses between them, prohibiting him from engaging in activities which “directly compete with the Company’s offering of Ganoderma-based products”. Dkt # 15 at 12-13. Organo claims Ventura has breached these provisions by soliciting its distributors away from it in favor of TLC; as part of his recruitment strategy for them as direct competitors against Organo. Organo claims evidence of this activity from witnesses statements as well as emails and calls between Parties that prove this behavior; witness statements, emails and phone calls between both sides confirm this activity. Dkt # 15 at 12-13

The Court finds that the clause in the Distributor Agreement is likely enforceable. As previously explained, unlike at-will employment contracts, this one provides for an annual fixed-term agreement and independent consideration. Furthermore, its clause is specifically tailored as it only prevents defendants from engaging in opportunities that involve selling ganoderma-based products; they remain free to participate in MLM opportunities as long as it doesn’t include such activities.

While Defendants may have legitimate business reasons to pursue other MLM opportunities, they must do so in a fair and reasonable manner. Furthermore, as discussed by the Court above, nonbinding mediation was provided for under both Distributor Agreement and Policies and Procedures documents; had Defendants taken this route instead of filing suit against their former employer they may have been better served.

In their alternative claim, Defendants assert that the Clauses are unenforceable because they violate unfair competition law and public policy by prohibiting them from using confidential information or personal contacts gained during their tenure with Organo Gold to promote their new venture, TLC. However, this argument disregards that this ban simply prevents them from using their knowledge of Organo’s distributor policies, procedures, and practices to recruit current or prospective Organo distributors as TLC distributors.

As previously stated by the Court, TLC should not be disregarded as a direct competitor because they don’t offer as wide of an array of ganoderma-based products and market themselves differently from Organo. What matters is whether or not TLC directly competes with Organo’s sales of such products.
