The Court agrees with Organo that its non-compete clause is reasonable and necessary. Organo’s policies and procedures clearly prohibit distributors from soliciting customers, and its agreement specifies that they cannot participate in another opportunity that “directly competes with Organo Gold in offering ganoderma-based products”. Court findings include that the non-compete clause was reasonable as to time – one year is an acceptable limit in an MLM contract – and does not contain geographic restrictions, as is often found with such contracts. Furthermore, Mr. Ventura began working for TLC beginning February 2016 and actively recruited other Organo Gold distributors into joining.
L&A contends that their two non-compete clauses conflict, and only the clause prohibiting customer solicitation should be enforced. However, the Court disagrees. According to evidence presented before them by organogold distributors themselves, clause of their Distributor Application prohibits them from participating in opportunities which directly compete with Organo Gold by offering products derived from Ganoderma as well as any healthy beverage business that competes directly.
The Court further finds that Organo Gold‘s balance of equities tips in its favor. According to evidence presented before it, without an injunction Organo will lose its ability to operate as a profitable business and retain goodwill and customer support within the industry of Ganoderma-based products and healthy drinks. Finally, it concludes that an injunction is in the public interest.
